General Terms and Conditions (GTC)

1. Scope

These General Terms and Conditions (GTC) apply to all contracts that ZYD-Auto Ersatzteile Germany GmbH (hereinafter referred to as "Seller") concludes with customers (hereinafter referred to as "Buyer") regarding the export of vehicles, the rental of engine hoists or vehicle trailers, the sale and export of spare parts, vehicle key programming, vehicle diagnostics and the repair of control units. Deviating conditions of the buyer are not recognized unless the Seller expressly agrees to their validity in writing.

2. Conclusion of contract

2.1 The presentation of products and services on the website or in other advertising materials does not constitute a legally binding offer, but an invitation to place an order.

2.2. The purchase or rental contract is concluded when the seller confirms the buyer's order in writing (by email or fax) or carries out the delivery or service.

3. Prices and payment terms

3.1 All prices are ex works (EXW according to Incoterms), plus statutory VAT and any customs duties or other charges, unless otherwise stated.

3.2. Unless otherwise agreed, payment is made in advance. The buyer will receive an invoice, which must be paid without deduction within 10 days of the invoice date.

4. Delivery and delivery time

4.1. Delivery is ex works at the buyer's expense and risk. Partial deliveries are permitted provided they are reasonable for the buyer.

4.2. Delivery dates and rental periods are non-binding unless they are expressly agreed as binding. Force majeure and other unforeseeable, extraordinary and unavoidable circumstances release the seller from the obligation to deliver or provide on time.

5. Transfer of Risk

The risk shall pass to the buyer as soon as the goods or the rental object have been handed over to the forwarding agent, carrier or other person designated to carry out the shipment.

6. Retention of title

6.1 The delivered goods remain the property of the seller until the purchase price has been paid in full.

6.2. The buyer is obliged to treat the reserved goods with care and to adequately insure them against theft, breakage, fire and water at his own expense.

7. Warranty and Liability

7.1. The warranty is based on the statutory provisions. Defects must be reported to the seller immediately in writing.

7.2. Claims for damages by the buyer are excluded unless they are based on intentional or grossly negligent conduct on the part of the seller, his legal representatives or vicarious agents.

8. Rental Conditions

8.1. The rental of engine hoists and vehicle trailers is subject to the conditions set out in the rental agreement. The renter is obliged to treat the rented equipment with care and to return it in a clean and functional condition.

8.2. Any damage or loss during the rental period shall be at the tenant's expense. The tenant is obliged to report such damage to the landlord immediately.

9. Data Protection

The seller processes the buyer's personal data to process the contractual relationship in accordance with the statutory data protection regulations. Further information can be found in the privacy policy on the seller's website.

10. Applicable law and place of jurisdiction

10.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

10.2. The exclusive place of jurisdiction for all disputes arising from this contract is the registered office of the Seller, provided that the Buyer is a merchant, a legal entity under public law or a special fund under public law.

11. Final provisions

Should individual provisions of these General Terms and Conditions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions. The statutory provisions shall apply in place of the invalid provision.
